New regime for cross-border reorganisations within the EU: key changes for French companies

The “Mobility Directive” which provides for a new legal framework for cross-border conversions, mergers and divisions of limited liability companies within the EU, was recently transposed in France. We highlight below the key changes that companies and dealmakers need to be aware of. The new rules apply to transactions for which the draft common terms will be filed with the commercial court clerk as from 1^st July 2023.
